Terms of Service
These Terms of Service ("Terms") govern your access to and use of Opspanel, including the Opspanel website, console, APIs, and MCP server (the "Service"). By using the Service you agree to be bound by these Terms.
1. Eligibility & accounts
You must be at least 16 years old and able to form a binding contract to use Opspanel. You are responsible for the activity of every workspace member, agent, and API key issued under your account, and for keeping credentials confidential.
2. Private beta
The Service is currently in private beta. It may be unstable, change without notice, or be withdrawn. Beta access is provided on an "as is" basis without availability commitments.
3. Acceptable use
You agree not to:
- Use the Service to send unlawful, deceptive, harassing, or unsolicited communications.
- Attempt to bypass authentication, rate limits, scope checks, or audit logging.
- Reverse engineer the Service except where the law expressly permits.
- Upload data you do not have the right to use, including personal data without a lawful basis.
- Use the Service to develop a competing product, or to train models that compete with Opspanel.
We may suspend or terminate access if you violate these rules or place the platform at risk.
4. Your data
You retain ownership of the records, prompts, and content you submit ("Customer Data"). You grant Opspanel a worldwide, non-exclusive licence to host, process, and transmit Customer Data solely to operate the Service for you. We handle Customer Data per our Privacy Policy.
5. AI agents and tool calls
Opspanel agents act on your behalf. You are responsible for reviewing agent output before it reaches a customer, especially for outbound messaging, calls, billable actions, and any data written back to your CRM. We provide approval gating, scope controls, and revocable tool grants — use them.
Model providers you enable (e.g. Anthropic, OpenAI) process your prompts under their own terms. We are not responsible for the accuracy or appropriateness of model outputs.
6. Third-party services
The Service integrates with third parties (Google Workspace, Slack, Twilio, Stripe, Apollo, AgentMail, MCP servers, and others). Your use of those integrations is governed by their terms. Opspanel is not responsible for third-party outages or policy changes.
7. Fees
The private beta is provided at no charge. Paid plans, when launched, will be billed in
advance and metered usage will be charged in arrears against the
billing.charge ledger in your workspace. Fees are non-refundable except where
required by law.
8. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own (and at minimum reasonable care), and to use it only to perform under these Terms.
9. Intellectual property
Opspanel, its software, branding, and documentation are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription term. No other rights are granted.
10. Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AGENT OUTPUTS WILL BE CORRECT.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OPSPANEL'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.
12. Indemnity
You agree to defend and indemnify Opspanel from any third-party claim arising from your Customer Data, your use of the Service, or your violation of these Terms.
13. Term & termination
Either party may terminate at any time for convenience or for material breach. On termination your right to use the Service ends; we will delete or return Customer Data per our Privacy Policy.
14. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflicts of laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to that jurisdiction.
15. Changes
We may update these Terms. Material changes will be announced on this page and, where required, by email. Continuing to use the Service after a change means you accept the updated Terms.
